These terms and conditions outline the rules and regulations for the use of Zoodico Traffic Solutions's Website, located at https://zoodicotraffic.com.

By accessing this website, we assume you accept these terms and conditions. Do not continue to use Zoodico Traffic Solutions if you do not agree to take all of the terms and conditions stated on this page.

Acceptance

These terms and conditions, pertaining to sales and services, are applicable to all transactions involving quotations, purchase orders, invoices, and service contracts conducted by and for Zoodico Traffic Solutions. Variances may exist between the terms herein and those in the Customer's purchase order, with some terms being novel. The Company's lack of objection to Customer-provided provisions does not waive the conditions stated in this acceptance. Any alterations to these terms must be explicitly agreed upon in writing by a Company officer to be binding. Approval and acceptance by the Company are prerequisites for all orders and contracts. These Terms and Conditions of Sale and Service are applicable, whether or not physically attached to the equipment or services being sold.

Travel time and mileage charges for "Portal-to-Portal" services will be computed from the departure point to the job site until completion, and from the completion point back to the departure point or the next job site, whichever is closer. If travel time and mileage between job sites exceed the return distance to the original departure point, the subsequent job will incur charges for excess travel. In cases where service personnel travel to multiple job sites without returning to the original departure location between jobs, the last job site will be charged the travel time and mileage to return to the initial departure point.

On-Site Service is billed in 15-minute increments, with a minimum charge of one (1) hour. Phone Assistance is also billed in 15-minute increments, with a minimum charge of fifteen (15) minutes.

Payment

Invoices are due and payable within fourteen (14) days from the invoice date. The Company reserves the right to demand altered payment terms based on the Customer's financial condition and may seek assurance of the Customer's ability to pay. Each shipment is treated as a distinct transaction, and payment must be made accordingly. Interest accrues on overdue invoices at a rate of 1.5% per month, not exceeding the legal limit, on the unpaid balance from the original due date. A 3% fee is applied to credit card payments at the end of the payment term. If a credit card is used at the time of order, no fee will be assessed.

Prepayment Requirement

  1. Full prepayment is required for orders totaling less than $1,000.00.

  2. For orders exceeding $1,000.00, a prepayment of 50%-100% is mandatory.

  3. The remaining balance must be settled upon the arrival of the goods at the designated shipping address.

  4. The buyer is responsible for unloading.

  5. FOB (Free On Board).

Order Minimum Value Amount

Zoodico reserves the right to reject purchase orders falling below the minimum order value of $249. Custom products are exempt from minimum order thresholds. Zoodico retains the right to refuse any orders not meeting the minimum value amount.

Shipment

Sales are made F.O.B. point of shipment. The Company determines the method and route of shipment, unless explicit instructions are provided by the Customer. Risk of loss transfers upon delivery to the F.O.B. point. The Company does not insure shipments, which are typically made via Parcel Post, United Parcel Service (UPS), Air Express, or Air Freight.

At this time, we are unable to process international orders through our website, including shipments to Alaska, Hawaii, Puerto Rico, Canada, and APO Addresses. For information on international shipments, please reach out to us via email at sales@zoodicotraffic.com. We can provide a quote for all charges related to your order before shipment. International orders require upfront payment.

Product prices do not include freight costs. Shipping charges will be added to your order during invoicing. Shipping rates are based on Commercial Deliveries with Loading Dock Access Only. Additional handling is required for schools, churches, military facilities, and residences. For items shipped via LTL, please email us for a shipping rate. Shipping times vary based on products and the time of year. Note: Items over 150 lbs. or with large dimensions cannot be shipped via UPS and will be sent via common carrier to a Commercial Location Only. LTL Shipments cannot be delivered to residences or locations without Loading Dock Access. Actual shipping charges may vary from the estimated charges on our website, and we will contact you if there is a discrepancy.

Risk of loss and title for products purchased from ZoodicoTraffic.com pass to you upon delivery to the shipping carrier (F.O.B. shipping point). If a shipment is lost in transit, notify us within 7 days of the shipment date for research. Claims made after 7 days are not eligible for carrier claims.

Shipment Damages:

Inspect packages for damage before signing for any delivery. If you receive a damaged product, email us at sales@zoodicotraffic.com within 48 hours. When signing for your shipment, notate any damage with your signature. Otherwise, signing without "damage" or "uninspected" states you've inspected the item in good condition, and any later claim with the freight company must be filed by you.

Taxes

Unless specified otherwise, prices exclude present or future sales, revenue, excise, or other taxes and fees imposed by any public authority. Applicable taxes, fees, and charges are added to the purchase price and are the responsibility of the Customer, who may provide a tax exemption certificate or pay taxes directly.

Delays; Interruption of Delivery or Service

Shipping and service dates are approximate, contingent on prompt receipt of necessary information from the Customer. The Company is not liable for losses, damages, detentions, or delays due to factors beyond its control, including acts of God, communication loss, civil or military authority actions, fires, strikes, and shortages. The Company reserves the right to apportion services and production equitably during interruptions.

Some products are shipped in 8-10 weeks. While the goods are often delivered ahead of schedule, we want to provide ample time to prevent any unforeseen circumstances. Delivery dates are estimates and not guaranteed arrival dates. If there are delays in delivery due to customs inspections or shipping delays, Zoodico is not responsible for any associated costs with delayed delivery.

Nonconformity

All equipment subject to this order must be inspected before shipment. Customers must notify the Company within seven (7) days if received equipment appears nonconforming. No equipment may be returned without the Company’s explicit consent. Accepted returns are subject to a reasonable restocking charge and adherence to manufacturer's authorization and terms.

Product Descriptions:

ZoodicoTraffic.com and its affiliates strive for accuracy in product descriptions and content. However, we do not guarantee that product descriptions or other content on this site are entirely accurate, complete, reliable, current, or error-free. If a product offered by ZoodicoTraffic.com is not as described, your sole remedy is to return it in unused condition.

Limited Warranty

The manufacturer’s written warranty exclusively covers equipment supplied to the Customer. The Company provides no independent or supplemental warranty and is not responsible for repair, labor, shipping, or handling costs associated with any manufacturer’s warranty. The Company disclaims all warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose. Agents or technicians are not authorized to make additional warranties on behalf of the Company.

Intellectual Property

Customers indemnify the Company from suits, claims, losses, or liability arising from patent, copyright, trademark, or proprietary claims resulting from the use, possession, sale, or delivery of equipment or services.

Maintenance Contracts

Maintenance contracts are for the specified term and renew automatically unless terminated by either party within sixty (60) days before expiration. Changes to price and terms are communicated in writing by the Company.

Maintenance of Equipment by Customer; Release

The Customer acknowledges responsibility for daily equipment maintenance and safety adherence. Prompt notification of issues, as outlined in the Maintenance Contract, is required. The Customer indemnifies the Company from liability arising from equipment-related injuries and releases the Company from claims related to equipment malfunction, non-performance, or noncompliance with PCI DSS.

Items Not Covered

Unless stated otherwise in the Maintenance Contract, the Company's services do not cover damage caused by failure to provide a suitable operating environment, unauthorized supplies, accidents, disasters, misuse, or alterations. The Company is not obligated to maintain, repair, service, replace, or operate any device, system, or property belonging to the Customer or any third party unless specified in the Maintenance Contract.

Access

The Customer must provide the Company's technicians with free access to equipment covered under any Maintenance Agreement.

Limitation of Liability

To perform services, the Company requires access to the Customer’s computers, databases, and equipment. The Customer is responsible for backing up data. The Company is not liable for damages resulting from its services, including data loss or delays. The Company’s total liability to the Customer, if any, shall not exceed the total fees paid.

Non-Solicitation

The Customer agrees not to hire or solicit employment of the Company’s personnel associated with Maintenance Contracts or other services during the contract period and one year thereafter. In the event of breach, the Customer agrees to pay liquidated damages equal to two (2) years of the employee’s or consultant’s salary or fees.

General

  1. These terms are governed by the laws of the state of Michigan.

  2. Disputes are resolved through arbitration in accordance with the American Arbitration Association rules in Detroit, Michigan, or at a mutually agreed location, waiving rights to seek damages in court.

  3. If any provision is prohibited by governing law, it is ineffective without invalidating other provisions. Section captions are for convenience only.

  4. In case of Customer breach, the Customer remains liable for unpaid charges and must reimburse the Company for damages. The Company is entitled to a mechanic's lien, and remedies provided are in addition to other legal means. Waiver of one breach does not waive others.

License:

Unless otherwise stated, Zoodico Traffic Solutions and/or its licensors own the intellectual property rights for all material on Zoodico Traffic Solutions. All intellectual property rights are reserved. You may access this from Zoodico Traffic Solutions for your own personal use subjected to restrictions set in these terms and conditions.

You must not:

  • Copy or republish material from Zoodico Traffic Solutions

  • Sell, rent, or sub-license material from Zoodico Traffic Solutions

  • Reproduce, duplicate or copy material from Zoodico Traffic Solutions

  • Redistribute content from Zoodico Traffic Solutions

This Agreement shall begin on the date hereof.

Parts of this website offer users an opportunity to post and exchange opinions and information in certain areas of the website. Zoodico Traffic Solutions does not filter, edit, publish or review Comments before their presence on the website.
